TERMS AND CONDITIONS FOR DIRECT SELLER

This agreement is made on ____ by and between DIBYAOASIS MARKETING PRIVATE LIMITED, a company incorporated under the provisions of the Companies Act, 2013, having CIN U47990OD2025PTC049996 and its registered office at C/o-Ghanashyam Mirdha, At- Mirdhapada, Jamurda, Bargarh, Odisha - 768038 (the "Company") and _______, a company/individual, residing at (Address _______) (the "Direct Seller").

These terms are construed in accordance with the Model Guidelines on Direct Selling (28th December 2021) issued by the Government of India, and supersede any prior agreements. An applicant must read and agree to these terms to become a Direct Seller, signifying acceptance by signing below. Becoming a Direct Seller is free of charge. The Company's official website is the exclusive source for product details, marketing plans, and business monitoring.

Now "therefore" in consideration of the mutual promises contained herein the parties agree as follows:

DEFINITIONS

Product: The Company's goods to be sold by the Direct Seller.

Services: The Company's services to be sold by the Direct Seller.

Territory: The geographical area allocated to the Direct Seller in writing.

Direct Seller: A person authorized via written contract to conduct direct selling.

Direct Selling Entity: The principal entity (the Company) selling through Direct Sellers.

Cooling–off Period: A timeframe to cancel this agreement without penalty.

Website: The official website of the Company.

Prospect: A person to whom a proposal is made to join the business.

Saleable: Unused, marketable goods or services that have not expired.

ASSOCIATION & STATUS

The Direct Seller is associated as a non-exclusive, independent contractor to solicit customers. They are not an employee, agent, or authorized representative of the Company and are not entitled to employee benefits. This is a free business opportunity; an existing Direct Seller must act as an introducer. The Direct Seller will purchase products at a Distributor Price (DP), comply with all laws, and present products truthfully. Sales are on a principal-to-principal basis, and products cannot be sold above the Maximum Retail Price (MRP).

OBLIGATIONS OF DIRECT SELLER

A Direct Seller Shall:

  • Hold a prior written contract with the Company.
  • Truthfully identify themselves, the Company, and the nature of the goods/services.
  • Provide prospects with accurate information on prices, returns, refunds, and after-sale service.
  • Provide a complete order form to the consumer before or at the time of sale.
  • Ensure the product delivered matches the description given.
  • Protect the consumer's sensitive personal information.

A Direct Seller Shall Not:

  • Visit a consumer’s premises without a prior appointment.
  • Provide literature not approved by the Company.
  • Require a prospect to purchase literature or sales equipment.
  • Make claims inconsistent with those authorized by the Company.

OTHER TERMS & CONDITIONS

  • Cooling-Off Period: A 30-day cooling-off period is provided from the date of acceptance of these terms.
  • Buy-Back / Repurchase: The Company will buy back saleable goods within 30 days of purchase upon written request, offering a full refund or exchange.
  • Product Return: Returns are accepted within 30 days if the product is in its original, unopened packaging. Refunds are processed within 30 days of an accepted return.
  • Payment & Collection: All payments are processed through bank accounts. The Direct Seller is responsible for collecting payments from customers and products from the Company. Delivery charges are separate, and delivery may take up to 90 days.
  • Grievance Redressal: A grievance committee will address all complaints within 30 days of receipt.

TERMINATION

The Company reserves the right to terminate this agreement without notice if the Direct Seller:

  • Fails to purchase any product for three months after joining.
  • Makes no purchases for a continuous period of six months.
  • Violates the Company's terms and conditions.
  • Provides inaccurate or misleading information.
  • Submits a request for termination.
  • Fails to make at least one repurchase in a month (may result in suspension/termination).

After termination, the Direct Seller cannot be associated with the Company in any capacity for the next 12 months.

WEBSITE POLICY

The website is for general information and is used at your sole risk. The Company provides no warranties regarding its constant availability, accuracy, or freedom from viruses. The Company will not be liable for any damages arising from the use of the website.

GOVERNING LAW AND JURISDICTION

This agreement shall be governed by the laws of the Republic of India. The competent court of law at Bargarh, Odisha shall have exclusive jurisdiction over all matters arising out of this agreement.

DECLARATION

By signing this agreement, I declare that:

  1. I am 18 years of age or older.
  2. I have carefully read, understood, and agree to the Company’s business plan and all terms herein, explained in my local language.
  3. I will not oversell, make false promises, or misguide anyone to join the Company.
  4. I understand my earnings are based on my performance (Business Value) and hold the Company harmless if my earnings are low.
  5. I agree that the Company may change the business plan at any time without prior notice.
  6. I have not been promised any fixed income or benefits.
  7. I have joined on my own volition and agree to purchase a useful product.
  8. I am not a "dirty person" and have not been declared bankrupt in the last 5 years.
  9. All information I have provided is true.
